Wegotrade.com, customer.wego.trade, vendor.wego.trade and the WEGOTRADE applications (each a “Site”, collectively the “Sites”) are e-commerce platforms primarily used by business entities to facilitate B2B transactions.

WEGOTRADE recognizes the importance of protecting personal information and is committed to maintaining its confidentiality in accordance with applicable laws, including Quebec’s Law 25.

This policy applies to all products and services provided by WEGOTRADE Inc.

A. COLLECTION OF INFORMATION

  1. We collect only the information necessary to provide our services and protect user accounts.
  2. Information that may be collected during registration or use of the Sites includes, but is not limited to:
  • Name
  • Address
  • Phone number
  • Email address
  • Professional information
  • Transaction-related information
  1. We retain records of activities conducted on the Sites, including transaction details (products, pricing, deliveries, payments, etc.).
  2. We may collect information during trade shows, industry events, or business activities.
  3. We also collect certain technical and statistical information, including:
  • IP address
  • Browser type
  • Pages viewed

Such information may constitute personal information when it identifies a natural person.

B. USE OF PERSONAL INFORMATION

  1. Verify your identity and eligibility;

We do not sell personal information.

WEGOTRADE may use analytical tools, algorithms, and artificial intelligence technologies to improve its Services.

Such processing may include:

  • analysis of order histories
  • automatic generation of order templates
  • personalized order recommendations
  • operational optimization of B2B workflows

These analyses may rely on aggregated and anonymized data that does not identify any specific company or individual.

WEGOTRADE does not sell identifiable commercial data to third parties.

Automated recommendations are provided for informational and operational efficiency purposes only and remain subject to the user’s independent business judgment.

E. YOUR RIGHTS

In accordance with applicable laws, you have the right to:

  • Access your personal information;
  • Request correction of your personal information;
  • Withdraw your consent, where applicable;
  • Request deletion of your personal information, subject to legal obligations;
  • Request portability of your personal information, where applicable.

F. RETENTION OF PERSONAL INFORMATION

Personal information is retained only for as long as necessary to fulfill the purposes for which it was collected or as required by applicable law. Thereafter, it is securely deleted or anonymized.

G. COOKIES

We use cookies to:

  • Improve user experience;
  • Analyze Site usage;
  • Enable certain features.

You may configure your browser to refuse cookies. However, certain functionalities of the Sites may be limited as a result.

H. MINORS

The Sites are not intended for individuals under the age of 18. If a minor has provided personal information without parental or guardian consent, the parent or guardian may contact us to request deletion of the information.

Welcome to WEGOTRADE! These Terms of Service (the “Terms”) describe the terms and conditions applicable to your access to and use of the website wego.trade, wegotrade.com, customer.wego.trade, vendor.wego.trade and the WEGOTRADE applications for smartphones and tablets (each a “Site,” collectively, the “Sites”), as well as the services, software, and products offered by WEGOTRADE (collectively, the “Services”).

This document constitutes a legally binding agreement between you (the “User,” “you,” or “your”) and WEGOTRADE Inc. (“WEGOTRADE,” “we,” “us,” or “our”).

 

1. Application and Acceptance of the Terms

1.1 Your access to the Sites and use of the Services are subject to these Terms, the Privacy Policy, and any other rules or policies published by WEGOTRADE from time to time (collectively, the “Agreement”). By accessing the Sites or using the Services, you agree to be bound by the Agreement. If you do not agree, do not use the Sites or Services.

1.2 You may not use the Services or accept the Terms if:

(a) you do not have the legal capacity to enter into a contract with WEGOTRADE; or
(b) you are not authorized to receive the Services under applicable laws.

1.3 WEGOTRADE may modify the Agreement by posting an updated version on the Sites. Continued use of the Sites or Services after such publication constitutes acceptance of the revised Terms.

1.4 Language WEGOTRADE may make available an English version (or translation) of these Terms. In the event of any discrepancy between an English version and the French version, the French version shall prevail.

1.5 Certain Services may be subject to additional agreements (online or offline) entered into with WEGOTRADE or its affiliates (“Additional Agreements”). In case of conflict between these Terms and an Additional Agreement, the Additional Agreement shall prevail only with respect to the specific Service concerned.

1.6 The Agreement may not be modified except in writing by a duly authorized representative of WEGOTRADE.

 

2. Provision of Services

2.1 The legal entity with which you contract is WEGOTRADE Inc. WEGOTRADE may delegate performance of certain Services to its affiliates or service providers.

2.2 You must register (become a “Member”) to access certain Services. WEGOTRADE may, without notice, restrict access to certain Services or features, including paid Services or subject to additional conditions.

2.3 Services (or certain features) may vary by region. WEGOTRADE may limit, refuse, or create different levels of access and use.

2.4 WEGOTRADE may launch, modify, upgrade, impose conditions, suspend, or discontinue any Service (or feature) without notice. In the case of a paid Service, WEGOTRADE will not make changes that materially deprive paying Users of the essential benefit of the Service during a prepaid period, subject to applicable laws.

2.5 Certain Services may be provided by affiliates of WEGOTRADE on its behalf.

 

3. Users – General Rules

3.1 As a condition of access and use, you agree to comply with all applicable laws and regulations.

3.2 Authorized Use

You agree to use the Sites and Services solely for internal and commercial purposes. In particular, you agree that:

(a) you will not copy, reproduce, download, publish, sell, distribute, or resell any content, information, text, image, graphic, video, audio, directory, file, database, or listing available on or through the Sites (the “Site Content”) without express authorization; and

(b) you will not use the Site Content to operate a competing business or otherwise commercially exploit the Site Content.

Any systematic extraction (robots, scripts, scraping, automated or manual processes) aimed at compiling data without written authorization from WEGOTRADE is prohibited.

3.3 You acknowledge having reviewed the Privacy Policy and agree to the use of personal information in accordance with it.

3.4 The Sites may provide access to third-party content, products, or services. WEGOTRADE exercises no control over such third-party sites and assumes no responsibility for them.

3.5 You agree not to compromise the integrity of WEGOTRADE’s systems or networks (or those of any other User) nor attempt to gain unauthorized access.

3.6 You agree not to undermine the integrity of any feedback or review system, including through false reviews.

3.7 User Content – License

By posting or providing content, information, or materials (“User Content”), you grant WEGOTRADE a worldwide, royalty-free, transferable, and sublicensable license to host, display, transmit, reproduce, adapt, translate, and use such User Content to the extent necessary to operate the Sites, provide the Services, and promote them. You represent that you have the rights necessary to grant this license.

 

4. Member Accounts

4.1 A User may register only one Member account unless authorized in writing by WEGOTRADE. WEGOTRADE may refuse registration or terminate an account in case of reasonable suspicion of duplicate accounts or abuse.

4.2 Each Member is assigned login credentials. One email address may be linked to only one Member account.

4.3 Each Member is responsible for maintaining the confidentiality of login credentials and all activity under their account.

4.4 Any activity conducted under a Member account is deemed authorized by that Member.

4.5 Unauthorized sharing of access or multiple-user misuse that may harm WEGOTRADE or third parties may result in suspension or termination and Member liability.

 

5. Member Responsibilities

5.1 Each Member represents and warrants that they have authority to accept these Terms, use the Services for commercial purposes, and that all information provided is accurate.

5.2 You agree to keep your information up to date.

5.3 You consent to the use and sharing of your information in accordance with the Privacy Policy.

5.4 You are responsible for the legality and accuracy of User Content, compliance with applicable laws, and agree not to use the Sites for fraudulent, illegal, or harmful activities.

 

6. Violations and Disciplinary Measures

6.1 WEGOTRADE may remove, modify, or refuse any User Content deemed unlawful, inappropriate, misleading, or contrary to the Terms.

6.2 In case of violation (or reasonable suspicion), WEGOTRADE may suspend or terminate accounts, restrict access, remove content, impose limitations, or take any other reasonable measure.

6.3 Without limiting the generality of the provisions of the Terms, a Member would be considered as being in breach of the Terms in any of the following circumstances:

a) upon complaint or claim from any third party, WEGOTRADE has reasonable grounds to believe that such Member has willfully or materially failed to perform your contract with such third party including without limitation where the Member has failed to deliver any items ordered by such third party after receipt of the purchase price, or where the items Member has delivered materially fail to meet the terms and descriptions outlined in your contract with such third party,

b) WEGOTRADE has reasonable grounds to suspect that such Member has used a stolen credit card or other false or misleading information in any transaction with a counter party,

c) WEGOTRADE has reasonable grounds to suspect that any information provided by the Member is not current or complete or is untrue, inaccurate, or misleading, or

d) WEGOTRADE believes that the Member’s actions may cause financial loss or legal liability to WEGOTRADE or our affiliates or any other Users.

6.4 WEGOTRADE reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, WEGOTRADE may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action. WEGOTRADE shall not be liable for damages or results arising from such disclosure, and Member agrees not to bring any action or claim against WEGOTRADE for such disclosure.

6.5

If a Member is in breach of the Terms, WEGOTRADE also reserves the right to publish the records of such breach on the Sites. If such breach involves or is reasonably suspected of involving dishonest or fraudulent activities, WEGOTRADE also reserves the right to disclose the records of such breach to our affiliates. Such WEGOTRADE affiliates may impose limitation on, suspend or terminate the Member’s use of all or part of the services provided by such affiliates to the Member, take other remedial actions, and publish the records about the Member’s breach of the Terms on the websites operated by or controlled by such WEGOTRADE affiliates.

6.6

WEGOTRADE may, at any time and in our reasonable discretion, impose limitations on, suspend or terminate the Member’s use of any Service or the Sites without being liable to the Member if WEGOTRADE has received notice that the Member is in breach of any agreement or undertaking with any affiliate of WEGOTRADE and such breach involves or is reasonably suspected of involving dishonest or fraudulent activities. WEGOTRADE shall have the right to publish the records of such breach on the Sites. WEGOTRADE shall not be required to investigate such breach or request confirmation from the Member.

6.7

Each Member agrees to indemnify WEGOTRADE, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your submission, posting or display of any User Content, from your use of the Sites or Services, or from your breach of the Terms.

6.8

Each Member further agrees that WEGOTRADE is not responsible, and shall have no liability to you or anyone else for any User Content or other material transmitted over the Sites, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member. WEGOTRADE reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with WEGOTRADE in asserting any available defenses.

 

7. Transactions Between Buyers and Sellers

7.1

WEGOTRADE provides a platform facilitating exchanges between buyers and sellers. WEGOTRADE is not a party to transactions between Members and does not control the quality, safety, legality, or availability of products/services offered by third parties.

7.2

Users are hereby made aware that there may be risks of dealing with people acting under false pretenses. Because user verification on the Internet is difficult, WEGOTRADE cannot and does not confirm each User's purported identity (including, without limitation, paying Members). We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing.

7.3

Each User acknowledges that it is fully assuming the risks of conducting any purchase and sale transactions in connection with using the Sites or Services, and that it is fully assuming the risks of liability or harm of any kind in connection with subsequent activity of any kind relating to products or services that are the subject of transactions using the Sites. Such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents. Such risks also include the risks that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites may violate or may be asserted to violate Third Party Rights, and the risk that User may incur costs of defense or other costs in connection with third parties’ assertion of Third Party Rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants. Such risks also include the risks that consumers, other purchasers, end-users of products or others claiming to have suffered injuries or harms relating to products originally obtained by Users of the Sites as a result of purchase and sale transactions in connection with using the Sites may suffer harms and/or assert claims arising from their use of such products. All of the foregoing risks are hereafter referred to as "Transaction Risks". Each User agrees that WEGOTRADE shall not be liable or responsible for any damages, claims, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

7.4

Users are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Sites or Services, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

7.5

User agrees to provide all information and materials as may be reasonably required by WEGOTRADE in connection with your transactions conducted on, through or as a result of use of the Sites or Services. WEGOTRADE has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials.

7.6

In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify WEGOTRADE (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

Users assume transaction risks and remain responsible for commercial terms (payments, returns, shipping, taxes, etc.). In case of dispute, you agree to release WEGOTRADE from claims related to such disputes, to the extent permitted by law.

7.7 Payments and Third-Party Providers (WEGOPay or others)

Certain payments may be processed by third-party payment providers. Additional provider terms may apply. WEGOTRADE is not responsible for third-party decisions, interruptions, refusals, chargebacks, or fees, except as required by law. You remain responsible for amounts due and compliance with applicable laws.

 

8. Limitation of Liability

The limitation of liability and warranty disclaimer provisions (Section 8 of the original document) remain applicable to the fullest extent permitted by law, including warranty exclusions, limitation of overall liability, and allocation of risk.

 

9. Force Majeure

WEGOTRADE is not responsible for delays or interruptions caused by events beyond its reasonable control (technical failures, labor disputes, disasters, government actions, etc.).

 

10. Intellectual Property

WEGOTRADE owns (or holds licenses to) the rights in the Sites and Site Content. WEGOTRADE trademarks, logos, and distinctive elements are protected and may not be used without authorization.

 

11. Data Use, Analytics and Artificial Intelligence

11.1

In operating, improving, and continuously developing the Services, WEGOTRADE may analyze transactional, operational, and usage data generated on the platform.

11.2

WEGOTRADE may use aggregated and anonymized data — meaning data that does not identify a specific company or user — for purposes including:

  • improving existing features
  • developing new features
  • optimizing platform performance
  • generating automated recommendations
  • developing analytical and artificial intelligence tools

11.3

Data used for these purposes is processed in a manner that does not disclose confidential information specific to a Member or allow identification of any specific customer or business partner.

11.4

Each Member retains ownership of its commercial data. No identifiable Member data is sold to third parties.

11.5

Recommendation or automation features offered by WEGOTRADE are decision-support tools. Final business decisions remain the responsibility of the Member.

 

12. Notices

12.1 Notice to WEGOTRADE

Legal notices must be sent in writing to:

Notices are effective upon receipt.

12.2 – 12.3

Notices to Users may be delivered by email, mail, or publication on the Sites.

 

13. General Provisions

13.1

These Terms constitute the entire agreement, subject to Additional Agreements.

13.2

No agency, partnership, joint venture, or employment relationship is created.

13.3

If any provision is invalid, the remaining provisions remain in force.

13.4 to 13.6

Headings, waiver, assignment (WEGOTRADE may assign; Users may not without consent).

13.7 Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec (Canada). Any dispute shall be submitted to the courts of the judicial district of Montreal, subject to mandatory applicable laws.

 

14. Termination – Effects – Survival

14.1 Termination

You may stop using the Services at any time. WEGOTRADE may suspend or terminate access in accordance with Section 6 or to protect the Sites, Services, Users, or comply with law.

14.2 Effects

Upon termination, your right of access ceases, without prejudice to accrued rights and obligations (e.g., outstanding payments, transactional obligations).

14.3 Survival

Provisions which by their nature should survive (including intellectual property, limitation of liability, indemnification, governing law, dispute resolution) remain in effect after termination.
